Terms and Conditions of Service

1. Parties and Scope

This document governs the contractual relationship between SLIDER ("Slider" or "Provider"), headquartered in the City of Buenos Aires, Argentina, and the client contracting one or more of the services detailed in clause 2 ("Client"). By activating a service or accepting a Slider commercial proposal, the Client accepts these Terms and Conditions in full.

2. Services

Slider provides the following services, individually or in combination:

  • Microsoft 365 — Licensing, implementation, migration, and technical support for Microsoft 365 (Teams, Exchange Online, SharePoint, OneDrive). Slider acts as a certified Microsoft Partner.
  • Slider Cyber Protect — Managed cybersecurity powered by Acronis. Includes ransomware protection, automated backup, disaster recovery (DRaaS), and endpoint monitoring.
  • Azure — Design, migration, deployment, and ongoing management of Microsoft Azure infrastructure. Includes solution architecture, cost optimization, and DevOps operations.
  • Slider Cloud — Fully managed cloud infrastructure with 24/7 monitoring and continuous optimization.
  • SLIDER AIP — Autonomic Infrastructure Platform. Event correlation, adaptive security, and operations automation with mandatory human approval for all infrastructure actions.

3. Service Level Agreement (SLA)

Unless otherwise specifically agreed, Slider managed services are delivered under the following general commitments:

  • Monitoring availability: 99.5% monthly.
  • First response time for critical incidents (P1): 1 business hour.
  • First response time for high incidents (P2): 4 business hours.
  • Standard support hours: Monday to Friday, 09:00 to 18:00 (UTC-3). 24/7 support available under Premium plan.

Specific SLAs for each contracted service are detailed in the commercial proposal or individual service agreement.

4. Client Obligations

  • Provide Slider with the accesses and permissions required to deliver the service.
  • Designate a technical point of contact to coordinate operations.
  • Notify changes in the environment that may affect the service with reasonable advance notice.
  • Review and approve (or reject) AI-suggested actions within agreed timeframes. Prolonged inaction may be considered tacit approval for P1 alerts as contractually defined.
  • Maintain active third-party software licenses (Microsoft, Acronis) required for service delivery.
  • Not use the services for illegal, fraudulent activities or activities that violate third-party rights.

5. Personal Data Processing

In the course of service delivery, Slider may access personal data stored in the Client's environments. In such cases, Slider acts exclusively as data processor, processing data only according to the Client's instructions and for the purposes of the contracted service. Both parties commit to comply with Law 25,326 and, where applicable, the GDPR. Slider does not commercialize, transfer, or use client data for its own purposes. 6. Intellectual Property

All intellectual property rights over the AIP Platform, its components (NOTIFY, NORI, HASHI, WorkDone, Toki, KAZE, WHISPER, Broadcast, Verify), and associated technical documentation are exclusively owned by Slider. The Client acquires no intellectual property rights over them. Client data remains under the Client's ownership at all times.

7. Confidentiality

Both parties commit to maintaining the confidentiality of the other party's technical, commercial, and operational information accessed in the context of the service relationship. This obligation survives for 3 years after contract termination. Slider will not disclose client information to third parties, except upon duly substantiated judicial or regulatory requirement.

8. Limitation of Liability

Slider's total liability to the Client for any claim arising from the service agreement will be limited to the amount invoiced in the 3 months prior to the damage-causing event. Slider shall not be liable for:

  • Indirect damages, loss of profits, or data loss caused by factors outside Slider's control.
  • Service interruptions caused by Microsoft, Acronis, or other underlying infrastructure providers.
  • Security incidents resulting from vulnerabilities not remediated by the Client after Slider notification.
  • Actions taken on Client infrastructure without Slider approval or contrary to documented recommendations.

9. Term and Termination

Services are contracted for monthly or annual periods as agreed. Either party may terminate the contract with 30 days' written notice. Slider may suspend the service immediately upon payment default exceeding 15 business days or fraudulent use. Upon termination, Slider will deliver a copy of the Client's data in standard format within 30 days and proceed to its secure deletion from Slider's systems within a maximum of 90 days.

10. Applicable Law and Jurisdiction

These Terms and Conditions are governed by the laws of Argentina. In the event of any dispute, the parties submit to the jurisdiction of the Ordinary Courts of the City of Buenos Aires, expressly waiving any other jurisdiction that may apply.

11. Amendments

Slider reserves the right to modify these Terms and Conditions. Material amendments will be notified to active Clients by email with a minimum of 30 days' notice. Continued use of the service after the effective date of changes implies acceptance of the new terms.
